4. Intellectual Property

All intellectual property rights in the services, including but not limited to software, methodologies, processes, and documentation developed by Cornerstone Technology Group remain our property unless otherwise agreed in writing. Custom work created specifically for clients will be governed by separate agreements.

5. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of the business relationship. This obligation survives the termination of these Terms.

6. Payment Terms

Payment terms, including fees, invoicing schedules, and payment methods, will be specified in separate service agreements or statements of work. Late payments may incur interest charges as specified in individual contracts.

7. Warranties and Disclaimers

We strive to provide high-quality services but make no warranties, express or implied, regarding the services provided, except as specifically stated in separate agreements. Services are provided "as is" to the maximum extent permitted by law.

8. Limitation of Liability

To the maximum extent permitted by law, Cornerstone Technology Group shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to the use of our services. Our total liability shall not exceed the fees paid for the specific services giving rise to the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless Cornerstone Technology Group, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services or breach of these Terms.

10. Termination

Either party may terminate the service relationship according to the terms specified in individual service agreements. Upon termination, all outstanding fees become immediately due and payable.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Washington County, Tennessee.

12. Modifications

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on our website. Your continued use of our services after any modifications indicates your acceptance of the updated Terms.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

14. Entire Agreement

These Terms, together with any separate service agreements, constitute the entire agreement between you and Cornerstone Technology Group regarding the use of our services.
